Welcome to the websites, applications, digital platforms, competitions, and online services operated by Music-Performance Sports League, LLC (“MPSL,” “we,” “our,” or “us”).

These Terms of Use (“Terms”) govern your access to and use of MPSL websites, applications, digital platforms, accounts, content, registration systems, competition interfaces, voting and scoring systems, and related online services (collectively, the “Services”).

Please read these Terms carefully.

By accessing or using the Services, creating an account, submitting content, registering for a competition, making a payment, or otherwise indicating your acceptance of these Terms, you agree to be bound by these Terms and any additional policies or rules incorporated into them by reference.

If you do not agree to these Terms, do not use the Services.

1. About Music-Performance Sports League, LLC

Music-Performance Sports League, LLC develops, governs, organizes, licenses, promotes, and operates Music-Performance Sports competitions, leagues, events, digital platforms, media, and related products and services.

MPSL brands and properties may include:

Music-Performance Sports™
Music-Sports™
Music-Sports League™
SUPER MIC™
Song vs Song Sports League and associated competitions
Other leagues, games, tournaments, championships, events, divisions, and properties authorized by MPSL

Additional rules may apply to individual competitions, leagues, franchises, events, or programs.

2. Eligibility

You must be legally capable of entering into these Terms to use Services requiring an account, registration, purchase, or contractual agreement.

Certain competitions or services may have additional eligibility requirements.

If you are under the legal age required to enter into an agreement in your jurisdiction, participation may require authorization from a parent or legal guardian.

MPSL may establish age, geographic, professional, amateur, music-distribution, content, identity, or other eligibility requirements for particular competitions.

3. User Accounts

Certain Services may require you to create an account.

You agree to provide accurate, current, and complete information and to maintain the accuracy of your account information.

You are responsible for safeguarding your account credentials and for activities occurring through your account to the extent permitted by law.

You may not:

Impersonate another person or artist
Create accounts using materially false information
Allow unauthorized persons to use restricted accounts
Circumvent account restrictions
Use automated methods to create unauthorized accounts
Attempt to gain unauthorized access to another account

You should notify MPSL promptly if you believe your account has been compromised.

4. Music-Performance Sports Competition Rules

Participation in an MPSL-sanctioned competition may be governed by separate MPS Rules & Regulations, competition rules, eligibility requirements, player agreements, event rules, official decisions, and other applicable policies.

By entering an MPSL-sanctioned competition, a participant agrees to comply with the rules applicable to that competition.

If these Terms address general use of the Services while an official competition rule addresses the conduct or administration of a particular competition, the applicable competition rule will govern that competition-specific issue unless otherwise stated.

MPSL reserves the right to interpret and administer its competition rules through its authorized officials and administrators, subject to applicable law and contractual obligations.

5. IA Division and AI Division

MPSL may operate different competition classifications, including:

IA Division
Independent Artists Division

and

AI Division
AI Artist Division

Eligibility requirements and competition rules may differ between divisions.

Participants are responsible for accurately representing the nature of the artist or competitor being submitted and complying with the applicable divisional eligibility requirements.

Misrepresenting a competitor's eligibility or classification may result in rejection, disqualification, suspension, forfeiture, or other action permitted under applicable competition rules.

6. Song and Content Submissions

The Services may allow authorized participants to submit songs and related content through methods approved by MPSL, which may include:

Uploaded MP3 audio files
Spotify links or integrations
Apple Music links or integrations
Artwork
Photographs
Artist biographies
Promotional materials
Other approved media or information

Submitting content to MPSL does not, by itself, transfer ownership of the underlying copyright to MPSL.

However, by submitting content for use in an MPSL competition or Service, you represent that you have the rights, licenses, permissions, and authorizations reasonably necessary for the submission and the uses authorized by the applicable competition terms.

Subject to applicable competition rules or agreements, you grant MPSL a non-exclusive license to host, reproduce, transmit, display, perform, communicate, promote, and otherwise use submitted content as reasonably necessary to administer, promote, document, broadcast, stream, archive, and present the applicable competition or Service.

Any broader commercial rights must be established through applicable rules, releases, licenses, or separate agreements.

7. Rights to Submitted Music

You represent and warrant that your submission and MPSL's authorized use of it will not knowingly infringe or violate the intellectual-property or other legal rights of another party.

This includes, where applicable, rights involving:

Musical compositions
Sound recordings
Beats and instrumentals
Samples
Featured performers
Producers
Songwriters
Publishers
Record labels
Artwork
Photographs
Publicity rights
Other protected material

MPSL may request documentation concerning ownership, licenses, permissions, or authorization.

MPSL may reject, remove, suspend, or disqualify content when there is a reasonable rights-related concern, subject to applicable rules and law.

8. Clean / Radio-Edit Requirement

Songs entered into applicable MPS competitions must comply with the content requirements established for that competition.

Where MPSL rules require clean or radio-edit music, participants are responsible for ensuring that the submitted version complies with those requirements.

Content identified as explicit or otherwise ineligible may be rejected or removed from competition.

MPSL may use automated systems, human review, participant certifications, or other reasonable methods to assist with content review, but the participant remains responsible for submitting eligible material.

9. Submission Deadlines and Late Submissions

Competition submissions must be made by the applicable deadline established by MPSL.

Where an applicable competition requires weekly song submissions by Tuesday at 12:00 AM (midnight at the start of Tuesday), submissions received after that deadline may be considered late.

An eligible late submission may be accepted during an authorized late-submission window upon payment of the applicable $25 Late Submission Fee, subject to the applicable competition rules.

Payment of a late fee does not override other eligibility requirements or guarantee acceptance if the late-submission window has closed.

10. Voting, Ratings, Scoring, and Competition Integrity

MPSL competitions may incorporate scoring from judges, officials, fans, members of the public, or combinations thereof.

Users must participate honestly.

Prohibited conduct includes:

Automated voting or rating
Bots or scripts
Multiple unauthorized accounts
Vote manipulation
Artificially generated voting activity
Coordinated fraudulent voting
Circumventing voting restrictions
Tampering with scoring systems
Unauthorized access to competition data
Bribery or improper influence of officials
Other conduct intended to manipulate competition results

MPSL may investigate suspected manipulation and take reasonable corrective action under its competition rules.

Corrective measures may include invalidating fraudulent votes or ratings, adjusting results where authorized by the applicable rules, suspending accounts, disqualifying participants, or imposing other sanctions.

11. Competition Results

Scores, rankings, statistics, records, standings, championships, and competition results may be publicly displayed and maintained as part of MPSL's official sports records.

Competition results are determined according to the scoring methodology and rules applicable to the particular competition.

MPSL may correct clerical, computational, technical, or verified scoring errors in accordance with applicable competition rules.

12. Fees and Payments

Certain Services may require payment, including competition registrations, submissions, late submissions, tickets, merchandise, events, subscriptions, franchise-related charges, or other products and services.

Applicable prices and fees will be disclosed in connection with the relevant transaction.

Users are responsible for reviewing applicable payment and refund terms before completing a transaction.

Unless otherwise stated in an applicable policy, agreement, or required by law, fees associated with completed competition administration or services already provided may be non-refundable.

Payment processing may be provided by independent third-party payment processors.

13. Independent Record Labels and Authorized Representatives

Independent record labels and other authorized representatives may submit or manage eligible artists where permitted by applicable MPSL rules.

Any person or entity acting for an artist represents that it possesses appropriate authorization to do so.

Participation by an artist affiliated with a record label does not, by itself, create a partnership, agency, employment, joint venture, sponsorship, or endorsement relationship between the label and MPSL.

14. Game Administrators and Officials

MPSL may authorize Game Administrators, officials, judges, contractors, franchise personnel, or other representatives to perform defined operational functions.

Their authority is limited to the responsibilities and permissions assigned by MPSL.

No administrator, official, franchisee, or other representative may modify MPSL's league structure, rules, intellectual property, or other matters outside the authority granted to that person or entity.

15. Acceptable Use

You agree not to use the Services to:

Violate applicable law
Infringe intellectual-property rights
Harass, threaten, defame, or unlawfully discriminate against another person
Distribute malware or malicious code
Attempt unauthorized access
Interfere with Service operation
Scrape or harvest protected information through unauthorized automated means
Manipulate competitions
Commit fraud
Impersonate MPSL personnel
Falsely claim affiliation with MPSL
Use MPSL intellectual property without authorization
Circumvent security or eligibility controls
Engage in conduct materially harmful to MPSL, its participants, competitions, users, or Services

16. Intellectual Property

Except for user-owned or third-party content, the Services and associated intellectual property are owned by, licensed to, or otherwise lawfully used by Music-Performance Sports League, LLC.

This may include trademarks, logos, league identities, competition formats, graphics, audiovisual content, website content, software, databases, designs, documentation, and other proprietary materials.

Nothing in these Terms transfers ownership of MPSL intellectual property to a user.

17. Trademarks

MPSL claims trademark rights in marks including:

Music-Performance Sports™
Music-Sports™
Music-Sports League™
SUPER MIC™

and may claim rights in additional names, logos, competition identities, slogans, and source identifiers.

Use of an MPSL trademark without authorization is prohibited where that use would violate applicable trademark or unfair-competition law or falsely suggest sponsorship, affiliation, authorization, or endorsement.

18. Third-Party Services

The Services may integrate with or link to third-party services such as music-streaming platforms, payment processors, social-media platforms, analytics providers, hosting providers, and other technology services.

Third-party services are governed by their own terms and privacy practices.

MPSL is not responsible for the independent operation of third-party services.

19. Spotify and Apple Music

References to or integrations with Spotify, Apple Music, or other music platforms are provided for functionality and convenience where authorized.

Use of those platforms remains subject to their respective terms and policies.

Unless expressly stated otherwise, the presence of an integration or link does not imply sponsorship or endorsement of MPSL by the applicable third-party service.

20. Privacy

MPSL's collection and use of personal information is described in the MPSL Privacy Policy.

By using the Services, you acknowledge that information may be processed as described in the applicable Privacy Policy, subject to your rights under applicable law.

21. Suspension and Termination

MPSL may restrict, suspend, or terminate access to Services when reasonably necessary because of:

Material violation of these Terms
Material violation of competition rules
Fraud
Competition manipulation
Security threats
Intellectual-property violations
Unlawful conduct
Repeated abuse
Failure to satisfy applicable eligibility requirements
Other grounds established in an applicable agreement or competition rule

Where appropriate, MPSL may investigate before taking final action.

22. Service Availability

MPSL seeks to maintain reliable Services but does not guarantee uninterrupted or error-free availability.

Services may be temporarily unavailable because of maintenance, technical failures, third-party outages, cybersecurity incidents, events beyond reasonable control, or other operational circumstances.

MPSL may modify, update, suspend, or discontinue features as its Services evolve, subject to applicable contractual and legal obligations.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

MPSL DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM TECHNICAL PROBLEMS.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MPSL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AUTHORIZED REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICES WHERE SUCH LIMITATIONS ARE LEGALLY PERMITTED.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

Any more specific limitation applicable to paid services, competitions, franchises, or events may be established through the applicable agreement.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MPSL and its applicable officers, directors, employees, representatives, and affiliates from third-party claims arising from your material violation of these Terms, infringement caused by content you submitted, or unlawful use of the Services.

This provision does not require indemnification to the extent a claim results from MPSL's own conduct for which indemnification may not lawfully be required.

26. Governing Law

Except where applicable law requires otherwise, these Terms and disputes arising from them will be governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.

Any separate competition, franchise, sponsorship, licensing, employment, contractor, vendor, or other written agreement may establish its own governing-law and dispute-resolution provisions.

27. Dispute Resolution

Before initiating formal litigation concerning these Terms, the parties are encouraged to attempt in good faith to resolve the dispute through written communication.

Unless another written agreement or applicable law provides otherwise, disputes that cannot be resolved informally may be brought before a court of competent jurisdiction in accordance with applicable law.

MPSL may adopt more specific dispute-resolution procedures for particular competitions or commercial relationships through separate written agreements.

28. Electronic Communications and Agreements

When you affirmatively agree to conduct a transaction electronically, create an account, submit an electronic registration, or otherwise provide legally sufficient electronic assent, communications, records, agreements, and acknowledgments may be provided electronically to the extent permitted by applicable law.

Where an electronic signature or affirmative acceptance is required, MPSL may use checkboxes, buttons, electronic signatures, or other legally appropriate methods to document assent.

29. Changes to These Terms

MPSL may update these Terms periodically as its Services, competitions, technologies, or legal obligations evolve.

The “Last Updated” date identifies the most recent revision.

When required by applicable law or appropriate because of a material change, MPSL may provide additional notice or request renewed acceptance.

Continued use alone will not constitute acceptance where applicable law requires a different form of consent.

30. Severability

If a provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the extent legally permissible, and the remaining provisions will continue in effect unless applicable law requires otherwise.

31. No Waiver

Failure by MPSL to enforce a provision of these Terms on one occasion does not constitute a waiver of its right to enforce that provision or another provision in the future.

32. Entire Agreement

These Terms, together with policies, rules, and agreements expressly incorporated by reference, constitute the applicable agreement concerning general use of the Services.

Separate written agreements may govern specific relationships such as franchise operations, sponsorships, licensing, employment, contractors, vendors, or particular competitions.
